While it is our practice to confirm orders by email, the receipt of an email order confirmation does not constitute acceptance of an order or confirmation of an offer to sell a Product. We reserve the right, without prior notice, to limit the order quantity on any Product, to reject any order, and/or to cancel any order at any time. We may require verification of information prior to the acceptance and/or shipment of any order.
By placing an order for Products on the Online Services, you agree to pay all Product prices, together with all applicable fees, charges, and taxes as displayed during the checkout process, including fees for delivery. There is no charge to use the Online Services, although you will be charged for purchases you make through the Online Services as described in these Terms of Use. We take reasonable care to make our Properties secure. All credit/debit card transactions on the Website are processed using Authorize.net, a secure online payment gateway that encrypts your credit/debit card details in a secure host environment. These details will only be used to process credit/debit card transaction which you have initiated. We do not store your credit card information on our Website.
All credit card account holders are subject to validation and authorization by the card issuer. If the issuer of your payment card refuses to authorize payment to us, we will not be liable for any non-delivery or delay of orders. Payment will be debited and cleared from your account upon dispatch of your order by The Green Scissor. If there is a problem charging your selected payment card, we may contact you.
Pricing
Prices shown on the Online Services are in US Dollars and are exclusive of taxes. Sales tax is charged on orders when applicable.
The products and services offered on the Online Services and the features, contents, specifications, availability, and prices of the Products are subject to change at any time without notice.
Information Accuracy
All information, product prices, product images and product specifications are subject to change without notice. The Green Scissor does its best to be accurate, but clerical or other mistakes may occur. In the event that a The Green Scissor product is mistakenly listed at an incorrect price, The Green Scissor reserves the right to refuse or cancel any orders placed for product listed at the incorrect price. The Green Scissor reserves the right to cancel orders it is unable to fulfill due to inventory shortages at any time. The Green Scissor reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, The Green Scissor shall issue a credit to your credit card account in the amount of the incorrect price.

You understand that products offered by The Green Scissor may contain materials that could be dangerous if handled improperly, and you acknowledge that The Green Scissor is not liable for any personal injury or property damage arising from any misuse of any products offered through the Properties. You further acknowledge that products may not be suitable for use by children, and you expressly assume sole liability for providing any individual under the age of 18 with access to any products. You hereby agree not use products for any illegal purpose and you assume all liability for any action you take for any action that is contrary to any law, rule, or regulation of any territory.

Indemnity and Release
You agree to defend, indemnify, and hold harmless The Green Scissor and its agents, managers, affiliates, licensors, licensees, successors and assigns and each of their respective directors, officers, contractors, employees, agents, service providers and partners (“Indemnified Parties”), from and against any demands, losses, cost or debt, liabilities, claims or expenses (including reasonable attorneys’ fees) made against The Green Scissor by any third party due to or arising out of or in connection with (i) your use of and access to the Properties, including any data or content transmitted or received by you; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any right of privacy, right of publicity or intellectual property rights; (iv) your violation of any applicable law, rule or regulation; (v) your User Generated Material or any that is submitted via your account; or (vi) any other party’s access and use of the Properties with your unique username, password, or other appropriate security code.
Without limiting anything set out above, you hereby release each of the Indemnified Parties from all damages, liabilities, claims, actions, demands and costs of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with these Terms, the Privacy Policy and/or any use by you of the Properties.
California Residents: you expressly waive CA Civil Code §1542, which states: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.”
Binding Arbitration/Class Waiver
For any dispute with The Green Scissor you agree to first contact us and attempt to resolve the dispute with us informally. In the unlikely event that The Green Scissor has not been able to resolve a dispute it has with you after attempting to do so for a period of sixty (60) days, we each agree to resolve any claim, dispute, or controversy (excluding any of The Green Scissor’s claims for injunctive or other equitable relief) arising out of or in connection with or relating to these Terms and Conditions, or the breach or alleged breach thereof (collectively, “Claims”), by binding arbitration by the American Arbitration Association (“AAA”) in the city of Ukiah, CA under the commercial rules then in effect for the AAA, except as provided herein. The award rendered by the arbitrator shall include costs of arbitration, reasonable attorneys’ fees and reasonable costs for expert and other witnesses, and any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Nothing in this Section shall be deemed as preventing The Green Scissor from seeking injunctive or other equitable relief from the courts as necessary to protect any of The Green Scissor proprietary interests.
ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING. THIS WAIVER APPLIES TO CLASS ARBITRATION, AND, UNLESS WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS. YOU AGREE THAT, BY ENTERING INTO THIS AGREEMENT, YOU AND THE GREEN SCISSOR ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND.
Choice of Law / Jurisdiction
The laws of the State of California govern these Terms and Conditions and any dispute of any sort that may arise between you and The Green Scissor or its affiliates, without regard to conflict of laws rules, as if entered into by residents of Wisconsin and fully performed therein. You irrevocably consent to the jurisdiction of the state courts located in or serving Mendocino County, California or a federal court in California for any action relating to the Website or these Terms and Conditions. Notwithstanding any other provision of these Terms and Conditions, we may seek injunctive or other equitable relief from any court of competent jurisdiction.
